These Terms of Service ("Terms") govern your access to and use of the website webdirectorybase.com (the "Website") and the helicopter charter and related services provided by Webdirectorybase Ltd. ("we", "us" or "our"). By accessing the Website or by requesting, booking or participating in any of our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use the Website or our services.

1. Introduction and Acceptance

These Terms constitute a legally binding agreement between you and Webdirectorybase Ltd. They apply to all visitors, users and customers of the Website and our services. Additional terms may apply to specific services, quotations or bookings, and where there is a conflict between those additional terms and these Terms, the additional terms will prevail to the extent of the conflict.

We may update these Terms from time to time. The most current version will always be available on this page with a revised "Last updated" date. Your continued use of the Website or our services after any changes constitutes acceptance of the updated Terms.

2. Definitions

  • "Services" means helicopter charter flights, tours, transfers, alpine dining arrangements, concierge services and any other services offered by us.
  • "Guest" means any person who books, participates in, or is carried on a flight arranged by us.
  • "Booking" means a confirmed reservation for one or more Services.
  • "Flight" means a helicopter journey operated or arranged by us, including any landing at a remote or alpine location.
  • "Quotation" means a price indication provided for orientation purposes, which becomes binding only upon confirmation.

3. Our Services

We provide private helicopter journeys across Canada, including scenic tours with remote landings, point-to-point charters, alpine dining experiences, corporate transfers and tailored itineraries. The routes, landing sites, aircraft and experiences described on the Website are illustrative and may vary depending on weather, season, aircraft availability and operational considerations.

All Services are subject to availability and to the final approval of the pilot in command, who retains absolute authority over all decisions relating to the safety and conduct of a Flight.

4. Booking and Reservations

Enquiries submitted through the Website do not constitute a confirmed Booking. A Booking is confirmed only when we issue a written confirmation, typically following a personal consultation in which we review your itinerary, group size, preferred dates and any special requirements.

When making a Booking you must provide accurate and complete information, including the full names of all Guests and any relevant health or mobility considerations. You are responsible for ensuring that all Guests are aware of and accept these Terms.

5. Pricing and Payment

Prices displayed on the Website are provided for orientation only and are expressed in Canadian dollars. Final pricing depends on aircraft configuration, route length, landing requirements, group size and any additional services requested. A binding price will be set out in your confirmed Quotation.

Payment terms, including any deposit and the balance due date, will be communicated at the time of confirmation. We reserve the right to require full or partial payment in advance to secure a Booking. All applicable taxes and fees will be indicated where relevant.

6. Cancellation and Refunds

Cancellation conditions vary depending on the nature of the Booking, the lead time and the services involved. Specific cancellation terms will be set out in your confirmed Quotation. In general:

  • cancellations made well in advance may be eligible for a refund of amounts paid, less any reasonable administrative costs;
  • cancellations made close to the scheduled departure may be subject to partial or full charges;
  • where a Flight is cancelled by us for safety or operational reasons, we will offer rescheduling at no additional cost or a refund of amounts paid for the affected Service.

Refunds, where applicable, will be processed using the original method of payment within a reasonable timeframe.

7. Passenger Obligations

As a Guest you agree to:

  • arrive at the agreed departure point at the designated time;
  • provide accurate weight and identity information where required for aircraft loading and safety;
  • follow all instructions given by the pilot and ground crew, including during boarding, landing and emergency procedures;
  • refrain from behaviour that could endanger the safety of the Flight, the aircraft or other persons;
  • ensure that you are not under the influence of alcohol or substances that could impair safety.

We reserve the right to refuse carriage to any Guest who fails to comply with these obligations or whose conduct, in the reasonable judgment of the pilot, could compromise safety.

8. Health, Safety and Fitness to Fly

Helicopter flights may involve remote locations, high altitudes, variable weather and limited access to medical facilities. Guests are responsible for ensuring that they are medically fit to participate. Please inform us in advance of any medical conditions, mobility limitations, pregnancy or other factors that may affect your ability to fly safely.

Safety is our highest priority. Every Flight begins with a passenger briefing covering boarding procedures, landing protocols and emergency equipment. The pilot in command may delay, modify or cancel a Flight at any time if safety conditions require.

9. Weather and Operational Changes

Helicopter operations are highly dependent on weather and other operational factors. We continuously monitor conditions and will make every reasonable effort to operate your Flight as planned. However, we may need to adjust routes, change landing sites, delay departures or reschedule Flights where conditions warrant.

Where a weather-related change is necessary, we will propose a comparable alternative route or reschedule the Flight at no additional cost. We are not liable for inconvenience, disappointment or consequential losses arising from weather-related or operational changes made in the interest of safety.

10. Luggage and Personal Items

Luggage allowances depend on the aircraft and the route, and will be communicated at the time of Booking. Guests are responsible for their personal belongings at all times. We recommend that valuables be kept with you and that fragile items be adequately protected.

Our liability for loss or damage to luggage and personal items is limited as set out in these Terms and applicable law, and excludes liability for fragile, perishable or high-value items unless otherwise agreed in writing.

11. Liability and Limitation

We provide our Services with reasonable care and skill. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by our negligence.

To the maximum extent permitted by law, we shall not be liable for indirect, incidental, special or consequential losses, including loss of profit, loss of opportunity, loss of enjoyment or disappointment, arising out of or in connection with the Website or our Services, regardless of the cause of action.

Our total aggregate liability in connection with any Booking shall not exceed the amount paid by you for the specific Service giving rise to the claim.

12. Insurance

We maintain insurance appropriate to our operations as required by applicable aviation regulations. Guests are encouraged to obtain their own travel, medical and cancellation insurance to cover personal risks, including activities in remote environments.

13. Intellectual Property

All content on the Website, including text, graphics, logos, images, photographs and software, is the property of Webdirectorybase Ltd. or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify or create derivative works from any content without our prior written consent.

Photographs and digital packages provided to Guests as part of a Service are for personal, non-commercial use unless otherwise agreed in writing.

14. Use of the Website

You agree to use the Website only for lawful purposes and in accordance with these Terms. You must not:

  • use the Website in any way that could damage, disable or impair its operation;
  • attempt to gain unauthorised access to any part of the Website or its systems;
  • introduce viruses, malware or other harmful code;
  • scrape, harvest or collect information from the Website without permission;
  • misrepresent your identity or affiliation in connection with the Website.

We reserve the right to restrict or terminate access to the Website for any user who breaches these provisions.

15. Indemnification

You agree to indemnify and hold harmless Webdirectorybase Ltd., its directors, officers, employees and agents from and against any claims, liabilities, damages, losses and expenses arising out of your breach of these Terms or your use of the Website or our Services, to the extent permitted by law.

16. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to severe weather, natural disasters, acts of government, airspace restrictions, mechanical failure not attributable to our negligence, or other events of force majeure. In such cases we will use reasonable efforts to minimise the impact on your Booking.

17. Governing Law

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

18. Dispute Resolution

If a dispute arises, please contact us first so that we can attempt to resolve the matter amicably. Where a dispute cannot be resolved informally, the parties agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada, unless otherwise required by applicable law.

19. Severability

If any provision of these Terms is found to be invalid, illegal or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with any confirmed Quotation and any additional terms provided to you in connection with a Booking, constitute the entire agreement between you and Webdirectorybase Ltd. regarding the subject matter hereof and supersede all prior agreements, representations and understandings, whether oral or written.

21. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page with an updated "Last updated" date. We encourage you to review these Terms periodically. Your continued use of the Website or our Services following the posting of changes constitutes acceptance of those changes.
